Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the OctaneIQ website located at www.octane-iq.com (the "Site") and the OctaneIQ software platform and related services (collectively, the "Services"). By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Site or Services.

1. Acceptance of Terms

Your use of the Site and Services constitutes your acceptance of these Terms and any modifications made from time to time. We may update these Terms by posting a new version on the Site. Your continued use after such changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

3. Account Registration and Security

- To access certain features of the Services, you must create an account and provide accurate, complete information.

- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

- You agree to notify us immediately of any unauthorized use or security breach.

4. License to Use the Services

Subject to these Terms and payment of applicable fees, OctaneIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in the operation of your petroleum distribution or retail business.

5. Customer Data

- You retain ownership of all data you upload, input, or generate through the Services ("Customer Data").

- You grant OctaneIQ a worldwide, royalty-free license to use, host, store, reproduce, modify, and display Customer Data solely as necessary to provide and improve the Services.

- You are solely responsible for the accuracy, quality, legality, and means by which you acquired Customer Data.

6. Fees and Payment

- Use of certain Services requires payment of subscription or usage fees as set forth in your order or pricing agreement.

- All fees are non-refundable except as expressly stated in a separate agreement.

- You agree to pay all applicable taxes unless you provide a valid tax exemption certificate.

7. Prohibited Conduct

You agree not to:

- Use the Services for any illegal or unauthorized purpose

- Interfere with or disrupt the Services or servers/networks connected to the Services

- Attempt to gain unauthorized access to any portion of the Services

- Reverse engineer, decompile, or disassemble any part of the Services

- Share your account credentials or allow third parties to use your account

8. Intellectual Property

The Services, including all software, content, visuals, and trademarks, are owned by OctaneIQ or its licensors and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Termination

- We may suspend or terminate your access to the Services at any time, with or without cause or notice.

- Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including payment obligations, ownership, disclaimers, and limitations of liability) will remain in effect.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTANEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Houston, Texas.

13. Miscellaneous

- These Terms constitute the entire agreement between you and OctaneIQ regarding the Services.

- No waiver of any term shall be deemed a further or continuing waiver.

- If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect.

- You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
